PRIME CHASE
PERFORMANCE OF AN EXECUTIVE SEARCH ASSIGNMENT

Before the search is started, the following conditions are reviewed with the Customer company:
1. Prime Chase performs the executive search project on an exclusive basis during the term set forth in the contract.
2. All information received from Prime Chase in the course of the search, as well as information disclosed by the Customer and related to the Customer's company, shall be deemed strictly confidential.
3. All Candidates presented to the Customer pass a thorough selection procedure.
4. Prime Chase never offers to a successful Candidate career opportunities with other Customers during his/her employment with the company that hired him/her based on our recommendation. The only exception to this may be a request initiated by the Customer, related to downsizing, business restructuring, etc.
5. If the Customer company hires an additional person from the short list of candidates, a discount of 50% is offered on the total professional fee.
SEARCH PROCESS
Search for a Candidate comprises 4 integral stages:

I. Research and recruitment of Candidates commences after the Customer approves a Research Roll, setting out all details of the project stages, financial terms and conditions and guarantees.
II. Next step is drawing up and approval of a Position Profile. This document includes all functional responsibilities, professional skills and personal characteristics of a Candidate required for successful employment.
III. Prime Chase provides and reviews with the Customer a Long Target List of key companies where potential Candidates are likely to work, as well as a Customer Company Profile giving a comprehensive picture of the Customer company's business and development prospects.

Prime Chase is responsible for:

- identifying potential Candidates within the list of target companies;
- establishing contacts with the future Candidates to probe their qualification and interest in the career opportunity;
- conducting detailed interviews with qualified and interested Candidates; information is then presented in the form of Intermediate Reports;
- assistance in assessment and selection of the best Candidate;
- assistance in negotiating compensation package and other matters;
- verification of the successful Candidate's recommendations and references.

IV. Presentation of Confidential Reports and arranging of meetings of 2 - 3 best Candidates with representatives of the Customer. This stage is finalized by signing an Employment Offer with one of the selected Candidates and payment of the professional fee to Prime Chase.

At this stage, Prime Chase:

- provides assistance in drawing up of a written employment offer notification to the Candidate;
- maintains follow up contact with the selected Candidate to make sure his/her transfer to the Customer company is successful.
SEARCH PERFORMANCE TERMS

Based on our experience, successful search, selection and recruitment process that enables us to present 2 - 3 of the best Candidates, normally takes
10 to 12 weeks. These terms are primarily related to the necessity of a comprehensive examination of the market of professionals with the relevant qualification in order to identify Candidates best meeting Customer's criteria.

This period does not include the time needed for the Customer to make the final employment decision. It also depends on the number of interviews conducted and the resignation notice period at the Candidate's previous place of employment.
FEE
Prime Chase's professional fee depends on the complexity of each project, level of positions to be filled, and the degree of difficulty inherent in performance of the relevant research and recruitment of best Candidates. On average, the fee amounts to 33% of the final annual compensation package of the employed Candidate.
WARRANTY

A one-year warranty is given on the selected Candidate. If during this term the selected Candidate is dismissed by the Customer for professional incompetence or resigns from the company against the best interest of the Customer,
Prime Chase will repeat the entire search and selection process at no additional fee, other than direct costs incurred in targeted search.
